Re Featherston Resources Ltd [2014] NSWSC 1139

Facts: NZ company (FRL) incorporated in NZ and subject to a NZ deed of company arrangement (DOCA). The NZ company registered as a foreign company in Australia under the Corporations Act, Ch 5B. They attempted to use certain powers granted to companies under the Corporations Act which did not at that time, exist in the NZ Corporations Act, against NZ shareholders. The shareholders applied to the NSW Supreme Court for leave to bring derivative proceedings (ss 236-237).
